Use of the Platform/Services

Please read these Terms and Conditions carefully before registering on, accessing, browsing, downloading, or using the MNS Skills India website located at www.mnsskills.com, any associated sites linked to it, any device, and/or availing any services offered by MNS Skills India (hereinafter individually and collectively referred to as the “MNS Skills India Services”).

For clarity, these Terms and Conditions apply to all MNS Skills India Services, whether offered directly by MNS Skills India Foundation or any associated entity.

Acceptance

By registering on, accessing, browsing, downloading, or using the MNS Skills India Platform for any general purpose or specific purpose of availing any MNS Skills India Service, you agree to be bound by these Terms and Conditions (hereinafter collectively, the “T&Cs”), including any future modifications or updates. If you do not agree to be bound by the T&Cs at any time, you must immediately stop accessing or using the MNS Skills India Platform and terminate your use of the MNS Skills India Services.

Your use of the MNS Skills India Platform constitutes a legal agreement between you (an individual user at least 18 years of age, donor, beneficiary, or customer) and MNS Skills India Foundation. All services are provided by MNS Skills India through the Platform under the brand name “MNS Skills India.” All rights, benefits, liabilities, and obligations under the T&Cs shall accrue to MNS Skills India.

As long as you comply with these T&Cs, MNS Skills India grants you a personal, non-exclusive, non-transferable, limited, revocable privilege to use the MNS Skills India Platform and Services.

Indemnification

You agree to indemnify, hold harmless, and defend MNS Skills India, its affiliates, employees, officers, directors, and partners from any claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from:
(i) your use or misuse of the MNS Skills India Services/Platform;
(ii) any violation of these T&Cs; or
(iii) your breach of representations, warranties, or covenants.

MNS Skills India reserves the right to assume the exclusive defense and control of any matter you are required to indemnify, and you agree to cooperate in MNS Skills India’s defense and settlement of these claims. This indemnity clause survives termination of this Agreement.

Disclaimer; No Warranties

MNS Skills India and its partners disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The MNS Skills India Platform and Services are provided on an “as is,” “as available,” and “with all faults” basis. MNS Skills India does not warrant that its services will be error-free, uninterrupted, or that defects will be corrected. You agree that your use of the platform is at your own risk, and you are solely responsible for any damage or loss arising from such use. MNS Skills India is not liable for the actions or services of third-party providers (including telecom companies).

This disclaimer shall survive termination of this Agreement.

Ownership; Proprietary Rights

The MNS Skills India Platform and Services, including visual interfaces, graphics, design, code, and content, are owned by MNS Skills India Foundation. You agree not to copy, modify, distribute, or create derivative works without express written permission. Any suggestions, feedback, or ideas shared with MNS Skills India shall become the property of MNS Skills India.

Dispute Resolution

If a dispute arises under these T&Cs or in relation to MNS Skills India Services, the parties shall attempt to resolve it amicably within 30 days. Failing this, the dispute shall be resolved through binding arbitration under the Indian Arbitration & Conciliation Act, 1996, by a sole arbitrator appointed in accordance with the Act. The arbitration shall be held in New Delhi, conducted in English, and confidential. Each party shall bear its own legal fees and share arbitration costs equally. This clause survives termination of this Agreement.
